1. Acceptance of Terms

By using SMRT Payments services, including but not limited to our SMS time clock system, payment processing services, customer relationship management tools, and related technologies, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations.

These terms constitute a legally binding agreement between you (either as an individual or entity) and SMRT Payments LLC. If you do not agree to these terms, you must discontinue use of our services immediately.

2. Service Descriptions

Employee Time Clock System:

• SMS-based timekeeping for authorized employees
• Automated work hour calculations and attendance tracking
• Integration with payroll systems for accurate compensation
• Real-time status reporting and schedule management

Payment Processing Services:

• Secure transaction processing for business customers
• Integration with multiple payment gateways and methods
• Compliance with PCI DSS and financial regulations
• Fraud detection and risk management tools

Business Management Tools:

• Customer relationship management (CRM) systems
• Contact management and communication tracking
• Sales pipeline and opportunity management
• Reporting and analytics dashboards

3. User Responsibilities & Acceptable Use

Employee Users Must:

• Use the time clock system only for legitimate timekeeping purposes
• Ensure accuracy of clock-in/out times and report discrepancies immediately
• Maintain confidentiality of access credentials and personal information
• Comply with company policies and applicable employment laws

Business Customers Must:

• Provide accurate business information and maintain current contact details
• Use payment processing services only for legitimate business transactions
• Comply with all applicable laws, regulations, and industry standards
• Implement appropriate security measures for sensitive data

4. Data Security & Privacy

SMRT Payments implements industry-standard security measures to protect user data:

• Encryption: All data is encrypted in transit and at rest using advanced cryptographic standards
• Access Controls: Role-based permissions ensure data access is limited to authorized personnel
• Monitoring: Continuous security monitoring and incident response procedures
• Compliance: Adherence to applicable privacy laws and industry regulations

5. Service Availability & Support

Service Level Commitments:

• Uptime Target: 99.5% system availability during business hours
• Support Hours: Monday-Friday, 8:00 AM - 6:00 PM PST
• Emergency Support: Available 24/7 for critical timekeeping and payment issues
• Response Time: Initial response within 4 business hours for standard inquiries

Planned Maintenance:

SMRT Payments reserves the right to perform scheduled maintenance during off-peak hours. Users will receive advance notice of planned downtime when possible.

6. Payment Terms & Billing

Service Fees:

• Employee time clock system: Included with payroll processing services
• Payment processing: Competitive transaction-based fees
• Custom integrations: Quoted based on scope and complexity
• Premium support: Available for additional fee

Billing Practices:

• Invoices issued monthly or per agreed schedule
• Payment due within 30 days of invoice date
• Late fees may apply to overdue accounts
• Services may be suspended for non-payment

7. Intellectual Property Rights

SMRT Payments retains all rights, title, and interest in our proprietary systems, software, algorithms, and related intellectual property. Users are granted a limited, non-exclusive license to use our services in accordance with these terms.

User Content:

• Users retain ownership of data they input into our systems
• SMRT Payments may use aggregated, anonymized data for service improvement
• Users grant us necessary rights to process and store their data

8. Limitation of Liability

To the maximum extent permitted by law, SMRT Payments' liability for any claims arising from use of our services is limited to the amount paid for services in the preceding 12 months.

9. Indemnification

Users agree to indemnify and hold harmless SMRT Payments from any claims, damages, or expenses arising from:

• Violation of these terms of service
• Misuse of our services or systems
• Violation of applicable laws or regulations
• Infringement of third-party rights

10. Termination

Termination by User:

Users may terminate services at any time with 30 days written notice. Data export assistance will be provided during the transition period.

Termination by SMRT Payments:

We may terminate services immediately for:

• Material breach of these terms
• Non-payment of fees
• Illegal or harmful activities
• Security threats to our systems

11. Changes to Terms

SMRT Payments reserves the right to modify these terms at any time. Material changes will be communicated through:

• Email notification to registered users
• Prominent website notices
• In-system notifications for significant changes

Continued use of services after notification constitutes acceptance of modified terms.

12. Governing Law & Dispute Resolution

These terms are governed by the laws of the State of Washington, United States. Any disputes will be resolved through:

1. Good Faith Negotiation: Direct discussion between parties
2. Mediation: Professional mediation if negotiation fails
3. Arbitration: Binding arbitration under American Arbitration Association rules
4. Court Jurisdiction: Washington State courts for matters not subject to arbitration

13. Severability & Entire Agreement

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full effect. These terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between parties.
